Acceptance of Terms

By creating an account, accessing, or otherwise using the Finkkle Service in any manner, you affirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. Your use of the Service constitutes your acceptance of these Terms as of the date you first access the Service.

Agreement to Binding Arbitration

These Terms include an agreement to resolve most disputes through binding arbitration rather than in court, and a class action waiver. Please read the Disputes & Governing Law section carefully before using the Service, as it affects your legal rights.

Updates to These Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes. Material changes will be communicated to you via email or through a prominent notice on the Service.

Additional Terms

Certain features or areas of the Service may be subject to additional terms and conditions, which are incorporated into these Terms by reference. In the event of a conflict between these Terms and any additional terms, the additional terms will govern with respect to that feature or area.

Eligibility

The Service is available to individuals who are at least 13 years of age. By using the Service, you represent and warrant that you meet the following eligibility requirements:

Age Requirements

• You are at least 13 years old
• If you are between 13 and 17 years of age, you have reviewed these Terms with a parent or legal guardian who agrees to be bound by them on your behalf
• If you are accessing the Service from a jurisdiction where the minimum age for consent to data processing is higher than 13 (for example, 16 in certain EU member states), you meet that higher age requirement
• You are not barred from using the Service under applicable law

Geographic Restrictions

The Service is intended for use in jurisdictions where it is lawful to access and use it. You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable in your jurisdiction. We reserve the right to restrict or terminate access to the Service in certain regions at our sole discretion and without notice.

Organizational Use

If you are using the Service on behalf of an organization, you represent that:

• You have the legal authority to accept these Terms on behalf of the organization
• The organization has authorized your use of the Service
• The organization agrees to be bound by these Terms

We reserve the right to verify eligibility and to refuse service or terminate accounts that do not meet these requirements, at our sole discretion.

Your Account

Some features of the Service require you to create and maintain an account. The following terms govern your account creation and use.

Account Registration

To create an account, you must provide accurate, current, and complete information as prompted by the registration flow, including your name, email address, birthdate, and a secure password. You agree to maintain and promptly update your account information to keep it accurate, current, and complete. Providing false or misleading information is grounds for account suspension or termination.

Account Security

• You are responsible for maintaining the confidentiality of your login credentials, including your password
• You are solely responsible for all activities that occur under your account, whether or not authorized by you
• You must notify us immediately at [email protected] of any unauthorized access to or use of your account or any other breach of security
• We will not be liable for any loss or damage arising from your failure to safeguard your account credentials
• You must not share your account credentials with any other person or entity

One Account Per Person

Each person may maintain only one personal account. Creating multiple accounts — for example, to circumvent a ban, abuse rate limits, or manipulate the Service — is prohibited and may result in permanent termination of all associated accounts.

Account Transfers

Your account is personal to you and may not be transferred, sold, or assigned to any other person or entity without Finkkle's prior written consent. Any purported transfer without our consent is void.

Inactive Accounts

We reserve the right to deactivate or delete accounts that have been inactive for an extended period (typically 24 months of no login activity), following reasonable prior notice to the email address on file. Any data associated with deleted inactive accounts will be handled in accordance with our Privacy Policy.

Use of the Service

Subject to your compliance with these Terms, Finkkle grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

Permitted Uses

• Conducting searches and accessing search results through the Finkkle interface
• Creating and managing a personal account to utilize personalized features
• Saving searches, bookmarks, and other personal content within your account
• Using Spaces, Dufus, and other Finkkle products as they become available
• Accessing the Service through officially supported browser integrations and applications
• Sharing search results with others via standard sharing mechanisms provided by the Service

Commercial Use

Use of the Service for commercial purposes — including but not limited to reselling search results, building competing products, scraping data for commercial data sets, or providing the Service as part of a paid product — is not permitted without a separate written agreement with Finkkle. Fair Use

You agree to use the Service in a manner that is fair and reasonable, and that does not place undue burden on our infrastructure. This includes not making an excessive number of automated or programmatic requests, not attempting to cache the entire search index, and not using the Service in a way that degrades the experience for other users.

Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, unexpected outages, or factors beyond our control. We will endeavor to provide advance notice of planned maintenance where reasonably practicable.

Prohibited Conduct

You agree not to engage in any of the following prohibited activities when using the Service. Violation of these prohibitions may result in immediate account suspension or termination, and may expose you to civil or criminal liability.

Illegal & Harmful Activity

• Using the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
• Using the Service to facilitate, promote, or engage in harassment, stalking, threats, or intimidation of any person
• Using the Service to distribute, access, or promote child sexual abuse material (CSAM) or any content that exploits or harms minors
• Using the Service to facilitate or assist in any form of terrorism, extremism, or political violence
• Using the Service to engage in or facilitate human trafficking, exploitation, or forced labor

Platform Integrity

• Attempting to gain unauthorized access to any part of the Service, our systems, servers, or networks
• Introducing any viruses, trojans, worms, logic bombs, or other malicious or harmful code to the Service
• Attempting to probe, scan, or test the vulnerability of our systems or to breach any security or authentication measures
• Using the Service to conduct denial-of-service attacks or any other actions that interfere with the proper working of the Service
• Circumventing, disabling, or otherwise interfering with any security-related features of the Service
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service or its underlying algorithms

Misuse of Content

• Reproducing, redistributing, selling, or commercially exploiting search results, data, or content obtained from the Service without authorization
• Scraping, crawling, or otherwise extracting data from the Service using automated means without our prior written consent
• Using search results or Service outputs to train machine learning models, build datasets, or develop competing products without authorization
• Misrepresenting the source or nature of content or results obtained from the Service

Account Abuse

• Creating accounts using false information, impersonating another person or entity, or misrepresenting your affiliation
• Creating multiple accounts to circumvent restrictions, bans, or rate limits
• Selling, renting, or transferring your account credentials to another party
• Using another user's account without their authorization

We reserve the right to determine, in our sole discretion, what constitutes a violation of these prohibitions, and to take appropriate action including account suspension, termination, or referral to law enforcement.

User Content

Certain features of the Service allow you to create, upload, save, or share content, including but not limited to saved searches, Space content, profile information, and feedback submissions (collectively, "User Content"). The following terms govern your User Content.

Ownership

You retain ownership of any intellectual property rights you hold in your User Content. These Terms do not transfer ownership of your content to Finkkle. You are solely responsible for all User Content you submit to the Service and for ensuring that you have all necessary rights to do so.

License to Finkkle

By submitting User Content to the Service, you grant Finkkle a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and process your User Content solely for the purposes of operating, providing, and improving the Service. This license is limited to what is necessary for Finkkle to deliver the Service to you and does not grant us the right to sell your content or use it for unrelated purposes.

Content Standards

All User Content must comply with these Terms and applicable law. You represent and warrant that your User Content:

• Does not infringe any third party's intellectual property rights, privacy rights, or any other rights
• Is not defamatory, obscene, offensive, threatening, or otherwise objectionable
• Does not contain any personal data of third parties without their consent
• Does not violate any applicable law or regulation
• Is not false, misleading, or deceptive

Content Removal

We reserve the right, but not the obligation, to review, monitor, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We will not be liable to you for any removal of your content. You can delete your own User Content at any time through your account settings.

Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Finkkle a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without compensation or attribution to you. We are not obligated to keep Feedback confidential or to implement any suggestions.

Intellectual Property

The Service and all of its original content (excluding User Content), features, algorithms, design, and functionality are and will remain the exclusive property of Finkkle and its licensors. The following terms govern our intellectual property and your rights with respect to it.

Finkkle's Intellectual Property

All aspects of the Service — including but not limited to the search algorithms, ranking systems, user interface, visual design, branding, logos, trademarks, trade names, and underlying technology — are protected by copyright, trademark, patent, trade secret, and other intellectual property laws in the United States and internationally. You may not use, copy, modify, distribute, or create derivative works based on any part of the Service without Finkkle's prior written consent.

Trademarks

"Finkkle," the Finkkle logo, and any other trademarks, service marks, or trade dress used in connection with the Service are trademarks of Finkkle. You may not use these marks without our prior written permission. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets.

Open Source Components

The Service may incorporate open source software components that are subject to their own license terms. Where applicable, those terms govern your use of the respective components. Finkkle's use of open source components does not affect your rights under these Terms with respect to the Service as a whole.

DMCA & Copyright Complaints

If you believe that content on the Service infringes your copyright, please send a notice to [email protected] with the subject line "DMCA Notice" and include the following:

1. A description of the copyrighted work you claim has been infringed
2. A description of where the allegedly infringing material is located on the Service
3. Your contact information (name, address, telephone number, and email address)
4. A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
5. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
6. Your physical or electronic signature

We will respond to valid DMCA notices in accordance with applicable law, including removing or disabling access to allegedly infringing material where appropriate.

Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what data we collect, how we use it, where it is stored, and your rights with respect to your personal data.

By using the Service, you consent to the collection, use, and storage of your data as described in the Privacy Policy. If you do not agree to the Privacy Policy, you must discontinue use of the Service.

Data You Provide

You are responsible for the accuracy and legality of any data you submit to the Service. Do not submit sensitive personal information — such as payment card numbers, government ID numbers, medical data, or passwords — through search queries or user-generated content fields not specifically designed for those purposes.

Guest Use

You may use basic search features without creating an account. Guest use results in less data being collected (no account-level data or persistent history), but certain personalization and account features are unavailable. Standard server logs and anonymized session data may still be collected as described in the Privacy Policy.

Third-Party Services & Links

The Service contains links to third-party websites, content, and services. Finkkle does not own, control, or endorse these third parties, and is not responsible for their content, privacy practices, or terms of service.

Third-Party Websites

When you click on a search result and navigate to a third-party website, you leave Finkkle's environment entirely. Your use of that website is governed by the third party's own terms and policies, not these Terms. We encourage you to review the privacy policies and terms of any third-party sites you visit, especially before sharing personal information.

Third-Party Infrastructure Providers

Finkkle uses carefully selected third-party infrastructure providers — including Supabase for authentication and Turso for database hosting — to operate the Service. These providers are bound by their own terms of service and data processing agreements with Finkkle. Your use of the Service may be subject to those providers' acceptable use policies to the extent that their services directly power features you interact with.

Future Integrations

We may in the future offer integrations with third-party tools and services. Any such integrations will be clearly disclosed, and their terms — including any data sharing involved — will be described in updated documentation and will require your explicit activation. We will update these Terms and our Privacy Policy prior to introducing any material third-party integrations.

No Endorsement

The inclusion of any link or reference to a third-party website or service in Finkkle's search results or interface does not constitute an endorsement, recommendation, or approval by Finkkle of that website or service. We make no representations or warranties about the content, accuracy, or reliability of any third-party resources.

Disclaimers

Your use of the Service is at your sole risk. To the fullest extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied.

No Warranty

Finkkle expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, timely, secure, or error-free
• Any warranty that search results will be accurate, complete, reliable, current, or satisfactory
• Any warranty that defects in the Service will be corrected
• Any warranty regarding the quality, accuracy, or reliability of any content, data, or information obtained through the Service

Search Results

Finkkle provides search results as a convenience. We do not verify the accuracy, completeness, or legality of any content indexed or linked by the Service. Search results reflect our algorithmic interpretation of publicly available web content and may not represent the most current, complete, or authoritative information available. You should independently verify any information obtained through the Service before relying on it for important decisions.

No Professional Advice

Nothing in the Service or its search results constitutes legal, financial, medical, or other professional advice. If you need professional advice, you should consult a qualified professional in the relevant field. Finkkle is a general-purpose search tool and is not a substitute for professional judgment.

Technology Limitations

Our search algorithms, ranking systems, and personalization features are subject to errors, biases, and limitations inherent in the technology. We continually work to improve these systems but make no guarantees about their performance or the relevance of results they produce.

Limitation of Liability

To the fullest extent permitted by applicable law, Finkkle and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages, however caused and under any theory of liability.

Excluded Damages

This limitation applies to, without limitation, damages for:

• Loss of profits, revenue, data, business, or goodwill
• Business interruption or loss of anticipated savings
• Loss of or damage to data or information
• Inability to access or use the Service, including any content therein
• Any unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on the Service or in search results
• Any other matter relating to the Service

This exclusion applies regardless of whether Finkkle has been advised of the possibility of such damages and regardless of the failure of any essential purpose of any limited remedy.

Cap on Liability

To the extent that Finkkle's liability cannot be fully excluded under applicable law, Finkkle's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount paid by you to Finkkle in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (US $100).

Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain types of damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you, and you may have additional rights that these Terms cannot override.

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Finkkle and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation
• Your use of the Service, including your search queries, User Content, and any actions you take through or in connection with the Service
• Your violation of any third party's rights, including intellectual property rights, privacy rights, or contractual rights
• Any claim that your User Content caused damage to a third party
• Your misrepresentation of any information you provided to Finkkle
• Your use of the Service in a manner inconsistent with these Terms or any instructions we provide

Finkkle reserves the right, at your expense, to assume exclusive control of the defense of any matter subject to indemnification by you, in which event you will cooperate with Finkkle in asserting any available defenses. You agree not to settle any matter subject to indemnification without Finkkle's prior written consent.

Termination

These Terms are effective as long as you use the Service. Either party may terminate the agreement formed by these Terms at any time, subject to the following provisions.

Termination by You

You may stop using the Service and delete your account at any time through your account settings. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy. Terminating your account does not relieve you of any obligations incurred prior to termination or of any liability for conduct prior to termination.

Termination or Suspension by Finkkle

We reserve the right to suspend or terminate your access to the Service, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms or any applicable policy
• Conduct that we reasonably believe is harmful to other users, us, or third parties
• Extended periods of inactivity
• Legal requirements or law enforcement requests
• Discontinuation of the Service or relevant features

Where reasonably practicable and not prohibited by law, we will provide notice of termination via email before taking action, except in cases of serious or immediate violations that warrant immediate action.

Effect of Termination

Upon termination of your account:

• Your right to access and use the Service immediately ceases
• We may delete your account data in accordance with the Privacy Policy
• Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions

Appeals

If you believe your account was suspended or terminated in error, please contact [email protected] with a description of your situation. We will review your appeal and respond within a reasonable timeframe. We are not obligated to restore accounts found to be in violation of these Terms.

Disputes & Governing Law

Please read this section carefully. It affects your rights and will have a substantial impact on how any legal claims you and Finkkle have against each other are resolved.

Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. If you are a consumer located in a jurisdiction with mandatory consumer protection laws, you may also have rights under those local laws.

Informal Resolution First

Before filing any formal dispute, you agree to contact us at [email protected] and give us a reasonable opportunity to resolve the issue informally. Most disputes can be resolved without formal proceedings, and we are committed to addressing your concerns quickly and fairly.

Binding Arbitration

If a dispute cannot be resolved informally within 30 days, you and Finkkle agree to resolve it through final and binding arbitration, except as set forth below. The arbitration will be conducted under the rules of the American Arbitration Association (AAA) and will take place in Delaware, United States. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You and Finkkle agree that any arbitration or proceeding shall be limited to the dispute between Finkkle and you individually. To the fullest extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

The following claims are excluded from arbitration and may be brought in courts of competent jurisdiction:

• Claims for injunctive or other equitable relief to prevent unauthorized use or abuse of the Service or intellectual property infringement
• Small claims court matters within the applicable court's jurisdiction
• Claims that cannot be subject to arbitration as a matter of applicable law

EU & UK Users

If you are located in the European Union or the United Kingdom, nothing in these Terms affects your right to bring a claim before the courts of your country of residence or habitual abode. You may also have the right to use the EU Online Dispute Resolution platform to resolve consumer disputes.

Changes to These Terms

We may revise these Terms of Service at any time. When we make changes, we will update the "Last Updated" date at the top of this page and take reasonable steps to notify you of material changes.

How We Notify You

1. We will update the "Last Updated" date on this page whenever changes are made
2. For material changes that affect your rights or obligations, we will send a notification to the email address associated with your account at least 14 days before the changes take effect
3. We will display a prominent notice within the Service when significant Terms changes are approaching or have taken effect
4. For changes that require your consent under applicable law, we will obtain that consent before the changes apply to you

Your Continued Use

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms, except where applicable law requires explicit consent. If you do not agree with any changes to the Terms, you must discontinue using the Service before the changes take effect. You may request deletion of your account and associated data by contacting [email protected].
